By accessing or using LendWizely, you agree to be bound by these Terms of Service and any policies or guidelines referenced within them. If you do not agree, you should not access or use the website, platform, or related services.

If you are using the service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

LendWizely provides software, workflow tools, and connected infrastructure intended to support lending and related operational processes. Features may include intake, communication workflows, verification support, underwriting-related workflows, contracts, storage, partner workflows, funding operations, servicing, and collections-related workflows.

We may update, improve, modify, suspend, or discontinue parts of the service at any time, with or without notice, in order to maintain, improve, or evolve the platform.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account or through your authorized access. You must notify LendWizely promptly of any unauthorized access, suspected credential compromise, or account misuse.

You agree not to:

• Use the service in violation of applicable law, rule, regulation, or contractual obligation.
• Access, interfere with, or use the platform in a manner that could damage, disable, overload, or impair the service.
• Attempt to gain unauthorized access to systems, accounts, networks, data, or other users’ materials.
• Copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise attempt to derive source code from the platform, except where expressly permitted by law.
• Use the platform to transmit malicious code, spam, fraudulent content, or unlawful communications.
• Misrepresent identity, authority, business information, or the purpose of platform use.

Certain services or features may require payment of fees under a subscription, order form, proposal, invoice, or other commercial agreement. You agree to pay all fees due under the applicable pricing or commercial arrangement.

Unless otherwise stated in a separate written agreement, fees are non-refundable, and all payment obligations are final once incurred. Failure to pay fees when due may result in suspension, restriction, or termination of access.

As between you and LendWizely, you retain ownership of the data, records, documents, submissions, files, messages, and other content that you or your authorized users upload, transmit, store, or otherwise make available through the service.

You grant LendWizely a limited, non-exclusive right to host, process, transmit, store, copy, and use such data solely as necessary to operate, maintain, secure, improve, and provide the service, comply with applicable law, and enforce these terms.

LendWizely and its licensors retain all right, title, and interest in and to the website, platform, software, interfaces, content, branding, visual design, documentation, and all related intellectual property rights.

Except for the limited right to access and use the service in accordance with these terms, no license or ownership right is granted to you by implication, estoppel, or otherwise.

The service is provided on an “as is” and “as available” basis. LendWizely does not guarantee that the platform will be uninterrupted, error-free, secure, or available at all times or in all locations.

LendWizely may suspend, restrict, or terminate access to all or part of the service at any time if we reasonably believe that these terms have been violated, fees remain unpaid, or continued use presents a security, legal, operational, or reputational risk.

To the maximum extent permitted by law, LendWizely shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings arising out of or related to the service.

To the maximum extent permitted by law, LendWizely’s total aggregate liability for claims arising out of or related to these terms or the service shall not exceed the amount paid by you to LendWizely for the service during the twelve (12) months immediately preceding the event giving rise to the claim.

LendWizely may update or revise these Terms of Service from time to time. Updated terms become effective upon posting unless a different effective date is stated. Continued use of the service after updated terms are posted constitutes acceptance of those changes.

These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

Any dispute arising out of or relating to these terms or the service shall be brought in the state or federal courts located in New York County, New York.

We may collect information that you provide directly, including:

• name, email address, phone number, and business contact information;
• account credentials and profile information;
• documents, messages, submissions, and records uploaded through the platform;
• information submitted through contact forms, demos, and support requests.
